1. Purpose
These General Terms and Conditions (GTC) govern the contractual relationship between Genever SARL (hereinafter "the Organiser") and any natural or legal person wishing to participate in the L'Essence du Gin & des Spiritueux 2026 trade show (hereinafter "the Show"). Any registration constitutes full and unreserved acceptance of these GTC.
2. Registration
Registration is formalised by signing the participation contract and paying a 50% deposit of the total amount excl. VAT. The Organiser reserves the right to refuse any registration without having to justify its decision.
3. Pricing and Payment
All prices are quoted excluding VAT (excl. VAT). The 50% deposit is due upon signing the contract. The balance is due no later than 60 days before the start of the Show. Any late payment will incur late payment penalties at the applicable legal rate.
4. Cancellation by the Exhibitor
Any cancellation must be notified in writing to the Organiser. In the event of cancellation:
- More than 90 days before the Show: 50% deposit refunded
- Between 90 and 60 days: deposit retained in full
- Less than 60 days: full amount due
5. Cancellation by the Organiser
In the event of cancellation of the Show by the Organiser due to force majeure, all sums paid will be refunded in full. No other compensation may be claimed from the Organiser.
6. Stand Occupation
6.1. Transfer / Subletting
It is strictly prohibited to transfer, sublet, or exchange all or part of the allocated space, unless the Organiser has given written consent.
6.2. Occupation
The Exhibitor may not encroach on other Exhibitors' spaces and must respect the boundaries and dimensions of their stand.
6.3. Cleaning
Each Exhibitor is responsible for the cleanliness of their stand throughout the event.
6.4. Damage
Any damage incurred shall be the joint liability of the person responsible and the Exhibitor. If the person responsible cannot be identified, the Exhibitor shall bear the repair costs.
6.5. Stand Allocation
The Organiser will provide the Exhibitor with the show floor plan and the stand allocation prior to the Show. The Organiser reserves the right to modify or swap locations without the Exhibitor's consent. Exhibitors may choose their location by subscribing to the relevant option.
7. Set-up and Break-down
Information regarding stand set-up and break-down will be communicated in an information document no later than 7 days before the Show.
8. Delivery of Goods and Equipment
The Organiser does not guarantee the receipt or collection of goods. The Exhibitor is solely responsible for the proper delivery of their stock or equipment. The Organiser does not provide storage and accepts no liability for delivery errors, breakage, loss, or theft.
9. Exhibited Products
The Exhibitor is free to offer tastings of products of their choice at their stand, within the framework set by the Organiser. Only products listed in the registration file may be offered for sale. Any sale of an undeclared product must be validated in writing by the Organiser.
10. Customs and Taxes
The Exhibitor undertakes to complete all customs formalities and pay all taxes relating to the materials and products they exhibit.
11. Regulations
11.1. Alcohol Sales
The Exhibitor expressly undertakes to comply with the applicable regulations governing the sale of alcohol.
11.2. Advertising
Alcohol advertising is regulated by the Evin Law (Law No. 91-32 of 10 January 1991). Promotional advertising is permitted provided it does not encourage consumption. The Exhibitor undertakes to provide materials compliant with the regulations. The Organiser accepts no liability for any infringement.
12. Communication
The Organiser holds the exclusive right to write, publish and distribute all visual materials and the Show's website. The Exhibitor waives any recourse against the Organiser regarding the dissemination of their image, that of their stand, signage, brand, staff, products or services, on any medium.
13. Insurance
Each Exhibitor must hold valid public liability insurance covering their entire participation, including set-up and break-down. The Organiser accepts no liability for failure to comply with this obligation.
14. Intellectual Property and Miscellaneous Rights
The Exhibitor authorises the Organiser to use any photograph of their stand for their own promotional purposes, on any medium. Sound amplification at stands is strictly prohibited.
15. Safety
Throughout the duration of the Show, the Exhibitor must comply with and ensure compliance with the safety instructions issued by the Organiser.
16. Unforeseen Circumstances
In view of the duration of the event, the parties agree to exclude the application of Article 1195 of the French Civil Code.
17. Force Majeure
The performance of obligations shall be suspended by any force majeure event (natural disasters, epidemics, fires, acts of public authority, embargoes, social unrest, strikes, wars). The affected party shall notify the other party without delay.
18. Severability
If any provision of the contract is declared invalid, the remaining provisions shall retain their full force and effect.
19. Personal Data
The Organiser processes the Exhibitor's personal data for the purpose of managing their participation. In accordance with applicable regulations, the Exhibitor has the right to access, rectify, object, erase, restrict, and port their data, exercisable at: GENEVER – 106 Rue Saint André – 59000 LILLE or contact@lessencedugin.fr.
20. Governing Law
This contract is governed by French law. In the event of a dispute not resolved amicably within 3 months, jurisdiction is attributed to the Commercial Court of Lille.
21. Domicile Election
For the performance of this contract, the representatives of the parties elect domicile respectively at the registered office of the company they represent.
